The interests will be offered and sold under exemptions under the laws of the jurisdictions where the offering will be made. The offer of LiveTrade tokens in Singapore is being made in reliance on the exemption under section 302b(1) of the securities and futures act (chapter 289 of Singapore). The offer is not being made in, or is not accompanied by, a prospectus that is registered with the monetary authority of Singapore and neither LiveTrade nor the LiveTrade tokens holders are authorized or recognized by the monetary authority of Singapore as a collective investment scheme. The LiveTrade tokens being offered shall not be subsequently sold to any person pursuant to another offer in Singapore unless the provisions of the securities and futures act (chapter 289 of Singapore) are complied with.

 

The offer of LiveTrade tokens in the United States is being made pursuant to rule 506(c) of regulation D of the Securities Act and participation in the offering is limited to (i) inside the United States to up to 99 “accredited investors” (as defined under the Securities Act, rule 506 of regulation D) considered “a Safe Harbor” for the private offering exemption of section 4(a)(2) of the securities act of 1933 as amended and (ii) non-U.S. Persons (as defined in section 902 of regulation S under the Securities Act) in an offshore transaction in reliance on regulation S of the Securities Act of 1933.

 

LiveTrade intends to rely on an exemption from the provisions of the Investment Company Act, in reliance upon section 3(c)(1) of Investment Company Act, which excludes from the definition of “Investment Company” any issuer whose outstanding securities are beneficially owned by not more than 100 U.S. Persons and who meet the other conditions contained therein. Each investors’ subscription documents will contain representations and restrictions on transfer designed to ensure that the relevant conditions are met.
